Welcome to Flow Intel Technologies LLC! These terms explain how we work together, how billing works, and what each of us is responsible for. By engaging our services, you agree to these terms. We’ve written them in plain language so they’re easy to follow.
Who We Are
These terms are between you (the client) and Flow Intel Technologies LLC (“we”, “us”, or “our”). If you have questions, email us at support@flowintel.tech.
Business Clients Only
Our services are offered only to businesses and professional clients, not to consumers. By engaging us, you confirm that you are acting in the course of your business, trade, or profession, not for personal, family, or household purposes, and that the person accepting these terms has authority to bind your organization.
What We Do
We provide quantitative research and implementation consulting. The specific scope of each engagement is agreed in writing (for example, by email or a project proposal). Anything outside that scope is a new engagement and may be billed separately.
Billing and Payment
- We invoice on a schedule agreed with you, on an ad hoc basis, or as a retainer. Unless we agree otherwise, invoices are issued in arrears for work already performed
- Payments are processed through Stripe, or by ACH, wire transfer, or another method we agree on in writing
- Invoices are due on the date shown on the invoice
- If you choose to keep a payment method on file, you authorize us to charge it for invoiced amounts when they fall due. You can withdraw this authorization in writing at any time for future invoices
Questions About an Invoice
If you pay an invoice yourself through a payment page, you confirm at the time of payment that you have reviewed the invoice and accept the services for that period.
If an invoice is charged automatically to a saved payment method, you have 15 days from the charge date to tell us in writing about any objection. After that, the invoice and the services it covers are considered accepted.
Where you pay a retainer in advance, the services it covers are considered accepted 15 days after we report the work performed against it, unless you object in writing.
Paying an invoice also confirms that you have no outstanding objections to any earlier invoice, except objections you’ve already raised with us in writing.
If you raise a valid objection in time, we’ll correct the invoice or credit the difference.
Refunds and Overdue Invoices
- Because our work is delivered as we go, we don’t offer refunds for work that has already been delivered
- If an invoice is overdue, we may pause work until it’s paid
Payment Disputes and Chargebacks
If you have a billing problem, please contact us in writing at support@flowintel.tech first and give us 10 business days to fix it. You agree to do this before starting a payment dispute or chargeback with your bank or card provider. If a chargeback is filed for services that were delivered as agreed, you’re responsible for the fees and costs we incur as a result, including the disputed amount.
Not Investment Advice
This part is important, so please read it carefully:
- Our work is research and engineering. It is not investment, financial, legal, or tax advice, and we are not a registered investment adviser or broker
- We make no promises about performance. Past results, simulations, and backtests are hypothetical and do not predict future results
- Backtests have known limitations. They don’t reflect real trading costs, liquidity, slippage, or market conditions, and they can be affected by hindsight
- You make all trading and investment decisions yourself. You are responsible for those decisions and for any resulting losses
Confidentiality
We keep your business information, data, strategies, and project details confidential, and we ask you to do the same with ours. Neither of us will share the other’s confidential information with anyone who doesn’t need it for the engagement, except where the law requires it, or where we need to share relevant records with our payment processor, banks, or professional advisers to respond to a payment dispute, collect amounts owed, or enforce these terms. This obligation continues after our work together ends.
Limits on Our Liability
- Our total liability to you for any claim related to our services is limited to the fees you paid us for the specific work that gave rise to the claim
- We are not liable for indirect or consequential damages, including lost profits, lost trading gains, or trading losses, even if we were told they were possible
- Our services are provided “as is”. We work carefully, but we can’t guarantee that results will be error-free or suit every purpose
- You must tell us in writing about any problem with our work within 30 days of delivery. Any legal claim must be brought within 6 months of delivery, or within the shortest period the law allows if that is longer. After that, the claim is waived
Ending an Engagement
Either of us can end an engagement with written notice. You’ll pay for work performed up to the end date, and we’ll hand over any paid-for deliverables.
Privacy
Our Privacy Policy explains how we handle your information and is part of these terms.
Changes to These Terms
We may update these terms as our services evolve. We’ll let you know about significant changes, and the “Last Updated” date at the top will always show the current version.
